4. Customer Responsibilities
Customers agree to:
- Provide accurate information.
- Maintain valid contact details.
- Supply required website credentials when requested.
- Maintain valid software licences for premium plugins and themes unless supplied by us.
- Review and approve work promptly where required.
- Ensure website content complies with applicable laws.
5. Website Access
You authorise WP Maintain Ireland to access your website, hosting account, DNS, domain registrar, and related services where necessary to deliver agreed services. You are responsible for ensuring you have authority to provide such access.
6. Maintenance Services
Maintenance plans may include:
- Core updates
- Plugin updates
- Theme updates
- Security monitoring
- Uptime monitoring
- Scheduled backups
- Performance monitoring
- Monthly reports
Some updates may require compatibility testing before deployment.
7. Emergency Support
Emergency support is provided on a reasonable endeavours basis. While we aim to respond as quickly as possible, response times may vary depending on the severity of the issue and the customer’s support plan.
8. Hosting Services
Where hosting is provided:
- Resources are shared unless otherwise specified.
- Excessive resource usage may require an upgrade.
- Illegal or abusive content is prohibited.
- Spam, malware, phishing, or illegal activity may result in immediate suspension.
9. Payments
Invoices are payable by the due date shown. Monthly maintenance plans are billed in advance unless otherwise agreed. Late payments may result in suspension of services. We reserve the right to charge statutory interest and reasonable recovery costs where permitted by law.
10. Subscription Services
Maintenance plans automatically renew until cancelled. Either party may terminate a recurring plan by providing at least 30 days’ written notice unless otherwise agreed. No refunds are provided for partially used billing periods unless required by law.
11. Third-Party Services
Our services may integrate with third-party providers including WordPress, WooCommerce, Stripe, Google, Cloudflare, Microsoft, and other software vendors. We are not responsible for outages, pricing changes, or service interruptions caused by third-party providers.
12. Website Backups
We perform backups as part of certain maintenance plans. Although we take reasonable steps to ensure backup integrity, customers remain responsible for maintaining appropriate copies of important data.
13. Security
We implement industry-standard security measures. However, no website or internet-connected service can ever be guaranteed to be completely secure. We cannot guarantee protection against every cyber attack or newly discovered vulnerability.
14. Limitation of Liability
To the maximum extent permitted by law, WP Maintain Ireland shall not be liable for:
- Loss of profits
- Loss of revenue
- Loss of business
- Loss of goodwill
- Indirect or consequential damages
- Data loss arising from events outside our reasonable control
Our total liability shall not exceed the amount paid by the customer for the relevant service during the previous twelve months, except where liability cannot be excluded by law.
15. Intellectual Property
Unless otherwise agreed in writing:
- Customers retain ownership of content they provide.
- WP Maintain Ireland retains ownership of its tools, templates, documentation, and methodologies.
- Ownership of bespoke development transfers only after full payment has been received where applicable.
16. Service Availability
We aim to provide reliable services but do not guarantee uninterrupted availability. Maintenance windows may occasionally be required.
17. Force Majeure
We shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, cyber attacks, power failures, or actions of third parties.
18. Termination
We may suspend or terminate services where:
- Payments remain overdue.
- These Terms are breached.
- Illegal activity is detected.
- Continued provision of services would create unreasonable operational or security risk.
Customers remain liable for outstanding fees incurred prior to termination.
19. Privacy
Our handling of personal information is governed by our Privacy Policy.
20. Governing Law
These Terms & Conditions shall be governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts unless otherwise required by applicable law.
21. Changes to These Terms
We may update these Terms from time to time. The latest version will always be published on this website. Continued use of our services constitutes acceptance of any updated Terms.
